Terms & Conditions of Sale

These terms govern all quotes, orders, and sales by Hako Shikin LLC d/b/a POPS4 and Prosecco4. They follow ASI/PPAI promotional-products industry practice and incorporate the published terms of the manufacturer fulfilling each order.

1. Parties

Hako Shikin LLC is a Virginia limited liability company doing business as POPS4 and Prosecco4. Registered office: Virginia Beach, VA 23452. ASI Distributor #217876 · DUNS 18-204-6339.

2. Quotes

Quotes are valid for 30 days from issue and are subject to manufacturer pricing, stock, and lead-time confirmation at order entry. Pricing is subject to change for raw-material cost shifts, manufacturer surcharges, freight changes, or product discontinuation outside our control.

3. Orders

An order is binding when (a) buyer submits a signed/written purchase order or order form, or (b) buyer approves a written quote and authorizes production. Orders below quoted minimum quantities (LTM — Less Than Minimum) carry a manufacturer-published surcharge.

4. Artwork & virtual proof

Buyer is responsible for supplying camera-ready vector artwork (.ai, .eps, or high-resolution .pdf). Art prep, redrawing, or vectorization is billable at quoted rates. A virtual proof is provided before production. Production begins only after buyer's written proof approval. Buyer is responsible for verifying spelling, layout, color (PMS), and dimensions on the proof. Any error or omission present in the approved proof is buyer's responsibility.

5. Setup, art & pre-production charges

Setup, plate, screen, die, mold, digitizing, and art charges are non-refundable once production art has been generated. Reorders within 12 months at the same imprint typically waive setup; older reorders may incur new setup at manufacturer discretion.

6. Quantity tolerance (over/under-run)

Industry-standard production tolerance is ±5% to ±10% on quantity shipped, varying by product and manufacturer. Buyer is invoiced at the actual quantity shipped. If buyer requires an exact count, this must be specified at quote and may carry a surcharge.

7. Color, imprint & product variation

Pantone (PMS) color match is provided as closely as the imprint method and substrate permit and is not guaranteed to be exact across decoration methods or production lots. Slight variation in product color, finish, registration, and imprint position within manufacturer-published tolerances is normal and not a defect.

8. Production lead time

Lead times are quoted at order entry from the date of proof approval and remain estimates subject to manufacturer scheduling, raw-material availability, and decoration queue. Rush production is available on most products at additional charge. Production lead time is exclusive of transit time.

9. Shipping & risk of loss

Shipments are FOB Origin (manufacturer's dock). Title and risk of loss transfer to buyer at the carrier. Buyer pays freight unless free shipping is specifically quoted. Carrier claims for damage in transit are filed by buyer.

10. Payment

Standard terms: 50% deposit at order, balance prior to shipment. Established named accounts may be granted Net-30 terms upon credit review. Past-due balances accrue 1.5% per month (18% annualized) or the maximum permitted by Virginia law, whichever is lower. Buyer pays all collection costs and reasonable attorneys' fees on past-due accounts.

11. Cancellation

Cancellation is permitted only as follows:

• Before any work performed: full refund
• After art/proof generated, before production starts: setup, art, and any incurred charges are non-refundable
• After production has started: order cannot be cancelled; full balance due

See our Return & Refund Policy. Imprinted goods matching the approved proof are not returnable.

13. Intellectual property & indemnification

Buyer represents that buyer owns or has full right to use all logos, trademarks, copyrights, and other content supplied for imprinting. Buyer agrees to indemnify, defend, and hold harmless Hako Shikin LLC, its officers, employees, and manufacturing partners against any claim, demand, loss, or expense (including reasonable attorneys' fees) arising from buyer-supplied content, including third-party intellectual property infringement claims.

14. Confidentiality

Order details and buyer-supplied artwork are treated as confidential. NDA is standard on named accounts. We do not name customers in marketing without written permission.

15. Limitation of liability

Our maximum liability on any order is limited to the amount paid for that order. We are not liable for indirect, consequential, special, or incidental damages including loss of profits, loss of business, or reputational damage. This limitation applies regardless of the legal theory of recovery and survives termination.

16. Force majeure

Neither party is liable for delay or failure to perform due to causes beyond reasonable control including raw-material shortages, manufacturer plant failures, labor disputes, freight carrier failures, acts of government, natural disasters, pandemics, or war.

17. Governing law & venue

These terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. Exclusive jurisdiction and venue lies in the state and federal courts located in Virginia Beach, Virginia.

18. Manufacturer terms govern

Where these terms and the published terms of the specific manufacturer producing the goods conflict, the manufacturer's published terms govern, except where these terms provide greater protection to the buyer.

19. Entire agreement

These terms, together with the written quote and any signed purchase order or accepted proposal, constitute the entire agreement between the parties for each order and supersede all prior or contemporaneous understandings on the subject.

20. Updates

We may update these terms periodically. The version in effect on the date of order acceptance governs that order.
